FSC registration under the VASP Act: legal opinion, filing and authorised representative.
What a BVI VASP license is, and who it suits
A BVI VASP license is mandatory registration as a virtual assets service provider with the Financial Services Commission (FSC) under the Virtual Assets Service Providers Act, 2022, in force since 1 February 2023. Technically it is a supervised registration rather than a licence in the European sense, but in the market and with counterparties it functions exactly as a permission to operate.
There are three categories, and the one you pick drives both the requirements and the payments to the regulator: general virtual assets services, virtual assets custody services, and operating a virtual assets exchange. Custody and exchange carry stricter expectations and materially higher annual fees than the general category.
Good fit. Exchanges and brokers, custody providers, crypto transfer platforms and OTC desks that want a neutral jurisdiction with English-law roots, no corporate income tax and BVI company law that investors and funds already understand.
Poor fit. Anyone targeting EU clients: a BVI registration gives no European passport, and serving the EU requires a MiCA CASP authorisation - see our Estonia crypto license. Anyone counting on anonymity: beneficial ownership has been filed with the registry since 2025. Anyone expecting registration in two weeks: months is the realistic scale. And any business that cannot carry the running load, since a registered VASP needs an auditor, a compliance officer, an MLRO, an authorised representative and annual regulator fees. FSC requirements: people, capital, documents
First question: does the regime even apply? Not every token business is a VASP. It depends on who you serve, whether you hold client assets and where control over the keys sits. A legal opinion on applicability is the cheapest way to answer that before you spend months and money building an application pack.
People and functions. At least two directors, and they must be individuals - corporate directors are not permitted for VASPs. You also need a compliance officer, a money laundering reporting officer and a deputy, an auditor, and a BVI authorised representative. The representative is a separate role from the registered agent and is the formal channel to the regulator. All key people go through fit and proper assessment, and the FSC looks hard at whether they have relevant sector experience.
Capital. The Act sets no fixed minimum paid-up capital. Instead the FSC assesses whether the company has financial and liquidity resources proportionate to the model. For higher-risk models, above all exchanges and custodians, the regulator can impose a minimum capital condition in the registration itself; in known approvals those conditions have run to the order of a million dollars, alongside restrictions on using client assets for proprietary purposes. Budgeting on the assumption that no capital is needed is a common and expensive mistake.
Documents. A business plan covering technology and the team's knowledge and experience, risk assessment, compliance manual, AML, CFT and counter-proliferation policies, sanctions screening and Travel Rule implementation, ICT and cybersecurity documentation, client asset segregation and safeguarding, business continuity plan, outsourcing arrangements, data protection, a physical BVI address, ownership details and legal advisers. Depending on the case, the FSC may require an independent third-party systems audit and insurance.
The process step by step
- Legal opinion on applicability, 1-3 weeks. We review the model and answer whether registration is required and in which category. If it is not, you save the bulk of the budget.
- BVI incorporation, 1-2 weeks. Articles drafted for a regulated activity, registered agent, ownership structure, beneficial ownership filing.
- Assembling the team, 2-4 weeks. Two individual directors, compliance officer, MLRO and deputy, auditor, authorised representative, with documents and CVs prepared for fit and proper review.
- Building the pack, 4-10 weeks. Business plan and financial model, risk assessment, full policy suite, ICT and key custody documentation, client asset segregation, business continuity.
- Filing and fees. The pack goes to the FSC and the application fee is paid - a payment to the state that depends on the category and is not refunded if the application fails.
- First regulator response, typically within about six weeks. The FSC sends comments and questions. Answer fast: leaving a request unanswered beyond 30 days puts the application at risk of being treated as withdrawn.
- Decision, targeted within about six months of a complete application. Timing depends on the quality of the file and the number of rounds. Registration can be granted with bespoke conditions: minimum capital, activity restrictions, extra reporting.
- Launch and maintenance. Registration fee paid, operations start, and the reporting and annual fee calendar begins.
How much a BVI company with a VASP license costs
The budget has three parts: our work, payments to the state, and the recurring cost of the required functionaries. FSC fees are tied to the category - lowest for the general category, higher for custody, highest for an exchange - and beyond the application fee there is a separate registration payment and an annual renewal. Risks and pitfalls: grey listing, banking, ownership disclosure
FATF grey list. On 13 June 2025 the BVI was added to the list of jurisdictions under increased monitoring, and as of mid-2026 it has not come off; the territory itself is working towards an exit no earlier than 2027. This does not stop you registering, but it hits banking hard: enhanced due diligence, slower account opening, more questions from partners and payment providers. Solve banking in parallel with the licence, not after it.
Beneficial ownership is no longer private. Since 2 January 2025 beneficial ownership information is filed with the registry at a 10 percent ownership or control threshold, with changes filed within 30 days. From 1 April 2026 third parties can request access on a demonstrated legitimate interest, at a 25 percent threshold. If your structure was built around non-disclosure, it needs rethinking.
Common reasons for refusal or delay. A thin or generic business plan; template policies that do not describe your actual model; directors without relevant experience; an unclear account of key custody and client asset segregation; financial resources that do not match the stated scale; slow responses to FSC questions.
Ongoing load after approval. Audit and annual financial statements, the annual return, compliance officer reports, economic substance obligations, and in some approvals additional periodic reporting on customers, assets, complaints and system failures. Nobody can guarantee approval; the FSC decides. What we take responsibility for is the quality of the file and telling you where it is weak before you file it.
Life after registration
A registered VASP runs on a calendar: the appointed auditor reviews the financial statements, which are filed within the set period after the financial year end; the annual return is filed; economic substance obligations are met; registration is renewed and annual regulator fees are paid. Registers and beneficial ownership data are maintained in parallel, with changes filed within 30 days.
